Terms of Use
In force from 7 September 2026
Noted listens at your counter, turns what it hears into a transcript, and scores that transcript against the standards you set. These terms are the agreement between you and us about how you may use it.
They are meant to be read. The short version below is part of them rather than a substitute for them — where it and a numbered section disagree, the numbered section is the one that counts.
1. Agreeing to these terms
These terms are between Noted (“we”, “us”) and the business that opens a workspace (“you”). Using Noted in any way — reading this site, opening an account, recording a shift, reading a report — means you accept them.
If you accept on behalf of a business, you are telling us you have the authority to bind it. “You” then means that business, and covers everyone you give an account to.
2. Who may use Noted
You must be at least 18, or old enough to enter a contract where you live, whichever is higher.
Accounts are personal. Every recording belongs to the person who made it, which is what lets a report say who was at the counter — a shared login makes that record meaningless, so do not share one.
A workspace admin creates the accounts for their team and is responsible for who they hand them to, and for taking them back when someone leaves.
3. Your account
Keep your password to yourself, and tell us promptly if you think someone else has it. You are responsible for what happens under your account until you do.
We may suspend an account we have good reason to believe is compromised, shared, or being used against these terms.
4. Recording at your counter
Noted records only when someone in your workspace starts a shift, or when a shift window you configured opens. It never starts on its own, and it does not listen between shifts.
Meeting the law where you operate is your responsibility, not ours. Depending on where you are, that can mean a visible notice, a spoken warning, the consent of everyone in the conversation, consultation with your staff or their representatives, a data protection assessment, or a registration. Some places require all of it. Some forbid the recording outright.
Before you switch anything on:
- Post the notice your jurisdiction requires, where a customer will actually see it.
- Tell your team what is being recorded, what it is used for, and who can read the reports.
- Give them a way to raise a concern about it, and answer when they do.
Do not record where the law does not allow it, and do not record anywhere someone would reasonably expect not to be heard — a staff room, an office, a back corridor, a conversation about someone’s health or pay. Noted is for the counter.
We may disable recording, or close a workspace, if we have good reason to believe it is being used unlawfully or against this section. We will tell you why when we can.
5. What we do with a recording
Audio from a shift is uploaded, transcribed, and scored against the rubric your workspace has set. The transcript, the scores, and the quotes that support them are kept in your workspace for you to read.
Audio is deleted after it has been transcribed, unless your workspace has chosen a retention window — in which case it is deleted at the end of that window.
Speakers are told apart within a single conversation, so a report can say who said what. Customers are not recognised from one shift to the next. Recognising your own staff by voice is off unless your workspace switches it on: then a numeric voice profile — never audio — is kept for each staff member one of your admins names, used only to tell staff from customers in your workspace's recordings, deleted when you remove it, and the profile of any voice nobody names is deleted within 30 days. It is your responsibility to tell your staff and to keep it to people who have agreed.
Noted relies on third-party providers to transcribe audio and to run the language models behind the scores, so using it means your content is sent to them for that purpose. We remain responsible to you for it under these terms.
6. Scores, summaries and other machine output
Transcripts, scores, summaries, trends and suggested rubric changes are generated automatically. They are often useful and sometimes wrong: Noted mishears words, attributes a line to the wrong person, misreads tone, and knows nothing about what happened before the recording started.
Treat what it produces as the start of a conversation, not a finding of fact. Every score carries the moment it came from — read it, and listen, before you act on it.
You must not use Noted’s output as the only basis for a decision with a legal or similarly significant effect on a person: hiring, discipline, dismissal, pay, hours, promotion, or a reference. A person has to make those decisions, on evidence they have reviewed themselves.
Nothing Noted produces is legal, employment, financial or medical advice.
7. Your standards and your content
Your content means the recordings you make, the transcripts and reports made from them, the rubrics and standards you write, and anything else you put into Noted. As between you and us, it is yours.
You give us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process it, for one purpose only: running, securing and supporting Noted for you. The licence lasts as long as we hold the content and ends when it is deleted.
We do not sell your content, and we do not use it to train models for other customers.
If you send us ideas or feedback about Noted, we may use them freely and owe you nothing for them. Do not send us anything you need kept confidential.
8. What you must not do
Do not use Noted to:
- Record where the law does not allow it, or without the notice and consent it requires.
- Watch one named person covertly, or monitor your team beyond what running a counter reasonably needs.
- Upload recordings you did not make at your own counter, or any content you have no right to hand us.
- Share an account, resell access, or open a workspace for someone else to use as their own.
- Reverse-engineer, decompile, or scrape any part of the service, or try to extract the models, prompts or rubric logic behind it.
- Probe, overload, or interfere with the service, or work around a rate limit, a quota, or a security control.
- Build a competing product from its output, or use that output as training data.
- Impersonate anyone, or misstate your connection to a business.
- Do anything unlawful, or anything that would put us in breach of a law that applies to us.
9. Early access, changes and availability
Noted is in early access. Features arrive, change shape and disappear, and nothing here is covered by an uptime commitment.
We may change, suspend or withdraw any part of the service. Where we reasonably can, we will tell you first; where we cannot — a security problem, a legal requirement, someone abusing it — we will act first and explain after.
It runs on your device, your microphone and your connection, and any of the three can fail. An upload can fail, and a shift can be lost. Do not rely on Noted as your only record of anything that matters.
Updates are delivered automatically. There is no version to install and no way to stay on an old one.
10. Fees
Early access is free unless we have agreed something else with you in writing.
When paid plans start we will tell you the price and give you a chance to stop before anything is charged. A paid plan will come with its own terms covering billing, renewal, tax and refunds, and those will apply alongside these.
11. What stays ours
Noted — the name, the mark, the interface, the software, the rubric templates and everything else we provide — is ours and stays ours.
These terms give you a limited, revocable, non-transferable right to use the service while you keep to them. They give you nothing else, and no rights are granted by implication.
12. Personal data
A recording made at a counter is personal data about your customers and your team. As between you and us, you decide what is recorded and why, so you are its controller — or whatever your local law calls that role — and we process it on your behalf.
That makes the lawful basis, the notices, and the answers to anyone who asks what you hold about them yours to provide. We will help where we reasonably can.
We keep personal data for as long as we need it to provide the service, and we delete a workspace’s data when the workspace is closed, apart from anything we are required to keep.
Your content may be processed in countries other than your own, by us or by the providers named in section 5.
13. Suspension and ending the agreement
You can stop using Noted at any time and ask us to close your workspace.
We may suspend or end your access if you break these terms, if we are required to, or if we stop offering the service. If we are closing a workspace for our own reasons, we will give you a fair chance to export your reports first.
When it ends, your right to use Noted stops and we delete your content within a reasonable period — except for backups, which age out on their own schedule, and anything the law requires us to keep.
The sections that should outlive the agreement do: the licence in section 7 for as long as we still hold content, and sections 11, 14, 15, 16, 18 and 19.
14. No warranty
Noted is provided as it is and as it happens to be available. To the fullest extent the law allows, we make no warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
In particular, we do not warrant that a transcript or a score will be accurate, that the service will be uninterrupted or error-free, or that using it will make you compliant with any law that applies to you.
Some places do not allow exclusions like these. Where that is true, this section applies as far as it can and your statutory rights are untouched.
15. Limitation of liability
We are not liable for indirect or consequential loss, or for lost profits, lost revenue, lost goodwill, lost business, or lost or corrupted data, however it arises.
Our total liability for all claims arising out of or connected to Noted is limited to the greater of: the amount you paid us in the twelve months before the claim, or 100 USD.
Nothing here limits liability that cannot be limited by law — including death or personal injury caused by our negligence, and fraud.
16. Indemnity
You will defend us against, and cover, any claim, loss, damage or cost that arises from your use of Noted in breach of these terms. That includes a claim brought by a customer, a member of your team, or a regulator about a recording you made without the notice or consent the law required.
We will tell you about such a claim promptly and give you reasonable help with it. You will not settle it in a way that admits fault on our part, or binds us to anything, without asking us first.
17. Changes to these terms
We may update these terms. The effective date at the top changes when we do.
If a change materially affects you we will tell you by email or in the app before it takes effect. Carrying on with Noted after that means you accept the new version; if you would rather not, stop using it and ask us to close your workspace.
18. Governing law and disputes
Talk to us first. Email us at the address in section 20 with what went wrong and what you want done about it, and give us 30 days to put it right. Almost everything ends there.
If it does not, these terms and any dispute arising out of them are governed by the law of the place where Noted is established, and the courts there have exclusive jurisdiction.
If you are dealing with us as a consumer rather than as a business, you keep the protection of the mandatory rules of the country you live in, and nothing above takes that away.
19. General
We may transfer these terms to someone else as part of a sale, merger or reorganisation. You may not transfer them without our written consent.
If a clause turns out to be unenforceable, the rest of the terms stand and the clause is read as narrowly as it needs to be to work.
Not enforcing something once does not mean we have given it up.
These terms, together with anything else we have agreed with you in writing, are the whole agreement about Noted and replace anything said before.
We give you notices by email or in the app. You give us notices at the address below.
